Yes List Terms and Conditions

THE YES LIST — APPLICATION TERMS & CONDITIONS

NO PURCHASE IS NECESSARY TO APPLY OR BE SELECTED.

1. Sponsor

The Yes List is presented by Strong Cell (“Sponsor”).

2. Nature of the Program

The Yes List is a casting and participant selection program for a filmed Strong Cell production.

This is not a random drawing or sweepstakes. Applicants will not be selected by chance.

Strong Cell will review applications and may select one or more participants based on factors including, but not limited to:

  • the applicant’s story;
  • the proposed bucket-list experience;
  • personality and on-camera suitability;
  • fit with the campaign;
  • production feasibility;
  • safety considerations;
  • scheduling and availability;
  • location and travel requirements;
  • anticipated production and content value; and
  • any other legitimate production considerations determined by Strong Cell.

Selection is subjective and will be made by Strong Cell in its sole discretion.

3. Eligibility

Applicants must:

  • be at least 18 years old at the time of application;
  • be legal residents of the United States;
  • provide accurate and truthful information;
  • be legally able to travel and participate in the proposed production; and
  • satisfy any additional travel, identification, passport, medical, safety, or participation requirements applicable to the selected experience.

Employees of Strong Cell and members of their immediate households may be excluded from participation at Strong Cell’s discretion.

Void where prohibited by law.

4. How to Apply

Applicants must complete the official application form during the published application period.

The application may request information including:

  • first and last name;
  • email address;
  • proposed bucket-list experience;
  • explanation of why the experience is meaningful;
  • Instagram handle;
  • TikTok handle;
  • Facebook profile information; and
  • confirmation that the applicant has completed any required campaign interaction, including commenting on the applicable Strong Cell social-media post.

Strong Cell’s Instagram and TikTok handle is @wellurastrongcell.

Completing an application does not guarantee that an applicant will be contacted, interviewed, selected, or featured.

5. Social Media Activity

Applicants may be asked to comment on or otherwise interact with designated Strong Cell campaign content.

Unless expressly stated otherwise, likes, follows, comments, shares, referrals, or other social-media activity do not create entries, increase odds of selection, or guarantee preferential consideration.

Strong Cell may review publicly available social-media content as part of its evaluation of an applicant’s suitability for the production.

6. Selection Process

Strong Cell may:

  • review any or all applications;
  • request additional information;
  • interview applicants;
  • select finalists;
  • conduct identity or eligibility verification;
  • review publicly available social-media activity;
  • consider production, safety, logistical, reputational, and brand-related factors;
  • select one applicant, multiple applicants, or no applicants; and
  • discontinue the selection process at any time.

There is no random drawing and no mathematical scoring system is required.

Strong Cell’s selection decisions are final to the extent permitted by law.

7. Proposed Experience Is Not Guaranteed

An applicant’s proposed bucket-list experience is a proposal only.

Selection does not guarantee that Strong Cell will provide or produce the exact experience described in the application.

Strong Cell may modify, substitute, reduce, expand, relocate, reschedule, postpone, or cancel any proposed experience based on:

  • safety;
  • feasibility;
  • budget;
  • production requirements;
  • weather;
  • availability;
  • travel restrictions;
  • scheduling;
  • insurance requirements;
  • vendor limitations; or
  • other reasonable considerations.

Strong Cell will determine the nature, scope, location, duration, timing, and expenses associated with the selected production experience.

8. No Cash Alternative

Any travel, activity, accommodation, transportation, equipment, services, or other benefits provided in connection with the production are provided solely as part of the selected experience.

They:

  • have no guaranteed cash value to the participant;
  • are not transferable;
  • may not be sold or assigned;
  • may not be exchanged for cash; and
  • do not create an entitlement to any unused portion of Strong Cell’s production budget.

9. Selected Participant Agreement

Before participating, any selected applicant may be required to sign a separate Participant Agreement, Appearance Release, Liability Waiver, Assumption of Risk Agreement, tax documentation, and other production-related documents.

Selection may be conditioned upon timely execution of all required documents.

If a selected applicant fails or refuses to execute required documentation, Strong Cell may withdraw the selection and choose another participant.

10. Filming and Publicity

Applicants understand that the purpose of The Yes List is to identify participants for a Strong Cell production.

A selected participant may be filmed, photographed, recorded, interviewed, and otherwise documented during the experience.

Before production, the selected participant may be required to grant Strong Cell rights to use the participant’s:

  • name;
  • image;
  • likeness;
  • voice;
  • statements;
  • biographical information;
  • photographs;
  • video footage;
  • interviews; and
  • other production materials

for advertising, marketing, promotional, editorial, social-media, digital, broadcast, streaming, website, email, retail, public-relations, and other commercial purposes, subject to the final Participant Agreement.

11. Editing and Creative Control

Strong Cell will retain creative and editorial control over the production.

A selected participant should not expect:

  • approval over the final edit;
  • approval over headlines, captions, or advertising copy;
  • approval over which footage is used; or
  • any guarantee that footage will ultimately be published.

Strong Cell will not intentionally use a participant’s statements in a materially false or misleading manner.

12. Health, Safety and Assumption of Risk

Some potential experiences may involve travel, strenuous physical activity, outdoor recreation, adventure activities, elevation, weather exposure, transportation, or other inherent risks.

Selected participants may be required to:

  • represent that they are physically capable of participating;
  • obtain medical clearance where appropriate;
  • follow instructions from Strong Cell, production personnel, guides, outfitters, medical personnel, or other qualified professionals;
  • execute activity-specific waivers;
  • maintain appropriate health or travel insurance; and
  • assume risks associated with participating in the selected experience.

Strong Cell may modify or terminate any activity if it determines that continuing is unsafe or impractical.

13. Third-Party Providers

Strong Cell may use airlines, hotels, guides, outfitters, transportation providers, production companies, venues, and other third parties.

Participation may be subject to additional rules, waivers, terms, restrictions, or eligibility requirements imposed by those providers.

Strong Cell is not responsible for acts, omissions, cancellations, delays, or failures of third-party providers except to the extent required by applicable law.

14. Travel

Selected participants may be required to travel domestically or internationally.

Participants may be required to possess:

  • valid government identification;
  • a valid passport;
  • required visas;
  • required travel authorizations; and
  • any other documentation necessary for the destination.

Failure to satisfy travel requirements may result in withdrawal of selection.

15. Taxes

Any federal, state, local, or other tax consequences arising from compensation, benefits, travel, experiences, or other value provided to a selected participant are the responsibility of that participant except where Strong Cell expressly agrees otherwise in writing.

Selected participants may be required to provide a completed IRS Form W-9 and other tax information.

Strong Cell may report payments, benefits, prizes, awards, compensation, or other reportable amounts as required by applicable law.

16. Application Materials

Applicants represent that information and materials submitted in connection with the application are truthful and do not knowingly violate another person’s rights.

Application materials are submitted for the purpose of evaluating applicants for the production.

Unless otherwise agreed in writing, submission of an idea does not create:

  • a confidential relationship;
  • an obligation for Strong Cell to use the idea;
  • an obligation to compensate the applicant for the idea; or
  • a restriction preventing Strong Cell from developing or producing similar concepts independently.

17. Disqualification

Strong Cell may reject or disqualify an applicant for reasons including:

  • false or misleading application information;
  • impersonation;
  • fraud;
  • manipulation of the application process;
  • abusive or threatening conduct;
  • failure to satisfy eligibility requirements;
  • failure to cooperate with verification;
  • material safety or production concerns; or
  • violation of these Terms.

18. Modification or Cancellation

Strong Cell may modify, suspend, postpone, or cancel The Yes List or any associated production if circumstances make continuation impractical, unsafe, unlawful, or inconsistent with the intended production.

Strong Cell may also extend or modify application deadlines.

19. No Employment Relationship

Submission of an application does not create an employment, agency, partnership, joint venture, or other employment-related relationship between an applicant and Strong Cell.

Any compensation or service relationship involving a selected participant will be governed by the separate Participant Agreement.

20. Release and Limitation of Liability

To the fullest extent permitted by law, applicants agree that Strong Cell and its affiliates, officers, directors, employees, agents, production partners, and representatives will not be responsible for losses or damages arising solely from:

  • submission of an application;
  • failure to be selected;
  • technical failures;
  • unavailable or delayed communications;
  • cancellation or modification of the program; or
  • an applicant’s reliance on being selected.

Any broader participation-related release, assumption of risk, indemnification, or liability provisions will be addressed in the selected participant’s separate agreement.

21. Privacy

Information submitted through the application may be used to:

  • administer the application process;
  • evaluate applicants;
  • contact applicants;
  • conduct production planning;
  • verify eligibility; and
  • administer the selected participant relationship.

Any separate marketing consent should be obtained separately where required.

22. Social Media Disclaimer

The Yes List is not sponsored, endorsed, administered by, or associated with Instagram, TikTok, Facebook, Meta, or any other social-media platform unless expressly stated otherwise.

Applicants release those platforms from responsibility for administration of The Yes List to the extent permitted by law.

23. Governing Law

These Terms will be governed by applicable law and by any additional dispute-resolution, venue, or arbitration provisions included in the final version approved by Strong Cell’s legal counsel.

24. Acceptance of Terms

By submitting an application, the applicant acknowledges that they have read, understand, and agree to these Application Terms & Conditions.
